General Conditions of Sale

All GCS (including the recitals) are therefore acknowledged and accepted by the Purchasers, without reservation, on the date of the order
placement to RM; in case of existing Purchaser’s conditions, the GCS will prevail.
The GCS shall apply to all sale relationships, unless otherwise agreed upon between RM and the Purchasers.
To interpret and execute the orders, the parties shall moreover refer to the provisions provided for by Incoterms 2020.
1. Orders
1.1
to the Purchaser.
1.2 The orders sent to RM shall be considered to be binding only in case a written OC is sent to the Purchaser.
1.3 RM is entitled to require further information before accepting an order, as well as to decline the latter, at its sole discretion.
1.4 The orders shall refer to RM’s catalogue being in force from time to time. Anyway, both the products and the prices are indicative.
RM reserves the right to modify the technical features of the products and readjust the prices.
2. Price
2.1 Price, payment method and conditions being indicated in the OC are binding on the Purchaser.
2.2 Under no circumstances, the Purchaser may delay, reduce or cease payments. In case of partial or total non payment, the Purchaser will
be considered to be in arrears, with no need to send him formal injunction, and in this case interest of arrears will be applied according
to articles 2 letter e), 4 and 5 of the Decree Law N° 231, dated 9th October 2002.

2.4 In case of price increase regarding goods belonging to orders in progress and exceeding 5 % of the price contained in the catalogue,

right to refuse to purchase the goods but not the right to put forward claims against RM.
3. Transport
3.1 Unless otherwise provided in the Sales Contract, the products will be delivered to the customer according to the Incoterms 2020,
Ex-Works (EXW) or FCA – Supplier’s company.
4. Delivery
4.1 The delivery time is indicative and not binding on the Company and a possible delay does not entitle the Purchaser to back out of a
contract, cancel an order, cease, reduce, delay a payment of the price, nor claim for any damages and/or interest of arrears.

5. Retention of Title
5.1 RM reserves its property right concerning the goods, until all amounts relating to the price of the goods and the freight including, but

5.2 In case of contract termination due to the Purchaser’s breach, possible down payments shall remain acquired by RM as indemnity.
6. Complaints
6.1
6.2 Possible complaints do not entitle the Purchaser to stop or delay the payment of the goods, which has to be issued within the scheduled
time.
6.3 In case the Purchaser requires the goods to be conformed to a special purpose, the relevant request shall be made with the order and
it shall be valid only in case it has been specižcally conžrmed in writing in the OC.
7. Warranty of press systems.
7.1 Concerning the warranty of press systems, the terms and conditions indicated in Press Systems Technical Manual of Raccorderie
Metalliche S.p.A. shall apply.
8. Language, Disputes, Applicable Law
8.1 Any possible translation other than the present GCS one shall be intended as mere favour and shall not prevail over the Italian text,
which is the only applicable text.
8.2
8.3 For any aspect not provided for by the present GCS, the sales relationships between RM and the Purchasers shall be ruled by the Italian
law.
