warehouse in order to be checked. In the case of defective material caused by the company it will be replaced, but the
company will not accept any further responsibility for any direct or indirect consequences due to installation and use.

G In ogni caso di ritardato pagamento verranno addebitati gli interessi convenzionali al tasso del 8% a decorrere dal giorno
successivo alla scadenza senza ausilio di diffide. Al verificarsi di un mancato pagamento nei termini concordati, tutti gli
ordini in portafoglio saranno sospesi senza necessità di preavviso e ritenuti annullati per colpa della ditta acquirente,
fatto salvo il risarcimento dei danni. I pagamenti dei prodotti consegnati non saranno subordinati al completamento dell’
ordine. Nessun pagamento potrà essere differito nel caso di contestazioni.
In the case of a delayed payment, the company reserve the right to charge interest at the rate of 8% starting from the
day after the expiry date of the invoice without notice. In case of any delay of payment within the agreed terms, the Seller
has the right to suspend the supply without prior notice and the orders will be annulled due to Purchaser’s fault , unless
compensation for damage. Delivered goods pending payments will not prejudice the completion of orders in progress.
Any delay or payment will not be accepted in case of claims.

H Fino al momento in cui il venditore non abbia ricevuto il pagamento dell’ intero prezzo dei prodotti, questi ultimi rimarranno
di sua esclusiva proprietà. In caso di pagamenti dilazionati, le merci consegnate restano di proprietà del Venditore sino
all'integrale pagamento del prezzo. II Compratore si impegna a fare quanto necessario per rendere effettiva la riserva di
proprietà, nella forma più estesa a favore del venditore. Si impegna, altresì, a collaborare con il Venditore nelle misure
necessarie per la protezione del diritto di proprietà di quest’ultimo. II Venditore è autorizzato a compiere, a spese del
Compratore ogni formalità necessaria a rendere comunque opponibile ad ogni terzo la riserva di proprietà. II compratore
non può rivendere, cedere, costituire in garanzia la merce acquistata senza averne prima pagato integralmente il prezzo
al venditore, al quale devono essere immediatamente rese note, a mezzo di lettera raccomandata, le procedure esecutive
che, su istanza di terzi, avessero colpito dette merci.
The products remain Seller’s property until the moment of the complete payment of the price. In case of extended
payment, delivered products remain Seller’s property until the moment of the complete payment of the price. The Buyer
undertakes to respect the Supplier ownership in the widest form in seller’s favour. He also undertakes to cooperate with
the seller with all the necessary actions to protect the seller’s ownership. The seller is authorized to undertake all the
actions at one’s buyer’s expenses to oppose to any third person reserve of ownership. The buyer cannot resell, give
guarantee to the goods to a third part until the whole payment of price and he must notify with a recorded delivery
letter, the executive procedures that, at third persons instance, had hit the goods.

L Nel caso il Compratore non paghi quanto dovuto nei tempi prestabiliti o risulti inadempiente ad ulteriori obblighi presenti
nelle condizioni di vendita e/o siglati con ulteriori scritti, il venditore ha la facoltà di risolvere qualsiasi rapporto di fornitura
con effetto immediato, trattenendo a titolo di penale le relative somme già pagate, fatta salva ogni ulteriore richiesta di
risarcimento del danno. Il utto senza alcun onere penale o responsabilità nei confronti del Compratore.
In case where the buyer does not pay in the agreed time the amount due or does not respect any obligation listed in
the sales conditions and/or the ones agreed in other signed contract or agreement, the seller is empowered to stop
immediately the supplies, and to keep the already paid amount as penalty over and above any further claim for damages.
This is without legal charges or responsibility to the seller.

M Nell’ipotesi di controversia comunque dipendente da forniture effettuate dal venditore, sarà competente il Foro di Vercelli.
In the case of dispute involving Gessi S.p.A the relevant authority will be the Law Court of Vercelli.

Eventuali errori e/o refusi di stampa del presente listino non costituiscono motivo di contestazione.
Possibile mistakes and/or misprints of current price list will not be object of dispute.
