General sale conditions

Unless otherwise agreed in writing between the Parties, these General Sale Conditions (hereinafter mentioned as “General Conditions”)
together with eventual special conditions foreseen in the order confirmation govern all sales of products between Rubinetteria
Paffoni SpA - based in Pogno via Soriso n. 2 - (hereinafter the “Seller”) and any purchaser (hereinafter the “Customer”); unless
we specifically agree in writing for exemption, they are fully accepted by the Customer and prevail over any other conflicting clause
inserted in forms or in other documents used by the Seller and / or by customers (collectively, the “Parties”).

1.PRODUCTS
1.1 Subject of sales governed by these Terms and Conditions are the products mentioned in the lists of Seller (hereinafter the
“Products”), with the specifications set out therein.
1.2 The sending of catalogs or price lists does not constitute a formal offer by the Seller, which remains free to modify the same at
any time and without notice.

2. ORDERS AND CONFIRMATION
2.1 Orders are accepted by the Seller once the customer receives the order confirmation issued by the Seller (hereinafter the “Order
Confirmation”).

2.2 Should the Order Confirmation contains amendments in respect to the Order, the amendments shall be deemed to have been
tacitly accepted 24 hours after dispatch of the Order Confirmation unless the customer has expressed its disagreement in writing.

2.3 Without prejudice to the execution of orders after the issue of an Order Confirmation, the Seller may suspend and / or cease at
any time and without notice the production of products if market and / or production needs would require, so that the customer
could claim or demand any.

3. PRICES
3.1 Unless otherwise agreed in writing between the Parties, the prices of the Products (hereinafter the “Prices”) are the ones resulting
from the Seller’s price list in force at the time of the Order Confirmation, excluding VAT, and are intended for goods delivered on Ex-
Works basis to the Seller’s Factory in Pogno via Soriso n. 2.

3.2 The prices indicated in the price list may be subject to change.
3.3 Prices do not include transport charges, shipping costs, packaging of the Products and any other expenses not specifically included
in the Order Confirmation.

4. TERMS OF PAYMENT
4.1 Payment is strictly due within the terms specified in the invoice; any variation to the terms must be previously and expressly
agreed in writing by the Seller.
4.2 Any payment must be made and is due at the premises of the Seller, except in case of special different written agreement. The
release of bills of exchange or checks is allowed only in case of an express permission of the Seller.
5. LATE OR NON-PAYMENT
5.1 In the event of late or non-payment within the terms, conventional interest will be charged to the customer from the date of expiry
of the term and until the actual balance; this automatically and without the need of formal notice.

5.2 In the event that the customer delays wholly or partially payment, the Seller may suspend any pending delivery and any orders
already received, solve the relative contract and hold up as compensation till the amount of suffered damage , any sum collected in
advance, without prejudice to the right to claim further damages.

5.3 The total or partial non-payment of even a single invoice by the customer, and the reduction of any eventual granted guarantee,
automatically determines the loss of the benefit of the term in reference to any sum due to the Seller by the Customer.

6. DELIVERY
6.1 The delivery times are indicative and not binding for the Seller. The terms of delivery agreed between the parties are in any case
postponed to a date to be determined by the Seller, without the possibility for the customer to claim damages, if the delay is due
to hindrance of the Seller (including but not limited to: raw material shortages , breakdown of equipment, strikes, lockouts, state of
calamity, weather events, epidemic, interruption and / or delay in the supply of raw materials and transportation ..... etc ...) and in
any case if the delay is caused by force majeure.
6.2 The agreed delivery time will be automatically suspended for failure or delay in payment by the customer as foreseen in sub art.
5 or extended if the Customer has requested changes to the order accepted by the Seller after the Order Confirmation.
7. PACKAGING
The packages are debited to the cost and the Seller will not accept their return. The Seller is not liable for eventual faults or defects
of packaging.
